Terms of Use
1. Who We Are and Scope
SOLVN Platforms Inc. (“SOLVN”, “we”, “us” or “our”) is a British Columbia corporation that owns and operates the SOLVN marketplace and business-tools platform. The Services include www.solvn.ca, app.solvn.ca, the SOLVN web application, SOLVN mobile applications when released, related pages, communications, tools, content, verification features, business tools and support services (collectively, the “Services”).
SOLVN is a brand name, not a separate legal entity. References to “SOLVN” in these Terms mean SOLVN Platforms Inc. unless the context clearly refers only to the brand or software application. SOLVN is pronounced “SOL-ven”.
If you register or use the Services as a contractor, tradesperson, home-service professional, service provider or business account (“Provider”), the SOLVN Contractor & Subscription Agreement also applies. If there is a conflict on a Provider-specific matter, that agreement controls. Our Privacy Policy explains how SOLVN handles personal information.
2. Acceptance, Eligibility and Electronic Agreement
You agree to these Terms when you create an Account, click an acceptance control, or continue to use the Services after being given a reasonable opportunity to review an updated version that lawfully applies to you. If you do not agree, do not use the Services.
You must have legal capacity to enter a binding agreement. For an individual Account, you must be at least the age of majority in your province or territory of residence, which is 19 in British Columbia. If you use the Services for a corporation, partnership or other organization, you represent that you have authority to bind it.
Where SOLVN is available
SOLVN is offered for use in Canada, except that it is not currently offered in the Province of Québec, and is not directed to users outside Canada. SOLVN’s current service area for matching Customers and Providers is British Columbia, and SOLVN may expand it over time. You are responsible for complying with the laws that apply to you in your own province or territory.
We may keep electronic records showing the version accepted, the date and time of acceptance, Account identifier and related technical records. Electronic notices and records may be used to satisfy legal writing or record requirements where permitted by law.
3. Definitions
4. Account Registration and Security
You must provide accurate, current and complete information and keep it updated. You must not impersonate another person or business, create fraudulent or duplicate Accounts, evade a suspension or use another person’s Account without authorization.
You are responsible for protecting your credentials and for activity under your Account, except to the extent caused by SOLVN’s own breach of duty. Notify support@solvn.ca promptly if you suspect unauthorized access. We may require multi-factor authentication, identity confirmation or other reasonable security measures.
5. SOLVN Is a Marketplace, Not the Contractor
SOLVN provides technology that allows Customers to post Projects, compare Bids, review profiles and Trust Signals, communicate with Providers and organize project information. SOLVN also offers Providers business-management tools. SOLVN does not itself perform, supervise, direct, inspect, certify, warrant or guarantee physical home-service work.
Providers are independent businesses. SOLVN does not employ Providers, does not control how they perform work and is not the general contractor, subcontractor, project manager, architect, engineer, inspector, surety, guarantor or insurer for a Project.
A Service Contract is between the Customer and Provider only. SOLVN is not responsible for its scope, price, deposits, materials, scheduling, change orders, permits, inspections, workmanship, code compliance, warranties, payment or dispute resolution.
6. Projects, Bids, Selection and Service Contracts
A Project is an invitation for Providers to consider submitting Bids. Posting a Project does not require the Customer to proceed. A Bid is supplied by the Provider that submitted it; SOLVN does not set the price and does not guarantee that a Bid is complete, accurate or suitable.
SOLVN may display Bids anonymously, for example as Provider #1, Provider #2 and Provider #3, before emphasizing Provider identity. Anonymous comparison does not replace the Customer’s duty to review credentials, scope and contract terms.
Unless a confirmation screen expressly and prominently states that a Service Contract is being formed through SOLVN, using an “Accept”, “Award”, “Choose”, “Won” or similar marketplace control records a selection or project status and may unlock contact information; it does not by itself create a complete Service Contract. The Customer and Provider are responsible for agreeing to the legally required contract terms for the work.
If the parties separately agree that a Bid, estimate or other document forms all or part of their Service Contract, that agreement is solely between them. SOLVN does not interpret, enforce, vary or cancel it.
7. Customer Responsibilities
- Provide information you reasonably believe is accurate and disclose known material conditions relevant to the requested work.
- Have lawful authority to request the work and obtain any landlord, strata, co-owner or other consent required for the property.
- Before significant work begins, independently verify Provider identity, licensing, insurance, workers’ compensation status, references and qualifications as appropriate.
- Use a written Service Contract for significant work and understand deposits, milestones, change orders, warranties, permits, inspections and cancellation rights.
- Do not use the Services for unlawful, deceptive, discriminatory or unsafe purposes.
8. Verification Badges, Reviews and Trust Signals
Providers may submit business licences, trade licences, liability insurance, WorkSafeBC/WCB information, bonding, background checks, First Aid/CPR certificates and other credentials. Available badge types vary by service and region.
A Verification Badge means only that the submitted information appeared to satisfy SOLVN’s stated verification criteria at the time of review. Unless SOLVN expressly states that a check is continuously monitored, a badge is a point-in-time signal and may later become outdated. It is not a guarantee or endorsement of skill, honesty, solvency, safety, code compliance, insurance response or suitability for a particular Project.
Where a Verification Badge is based on WorkSafeBC clearance or another credential whose status can change, SOLVN may display an “as of” verification date, status-through date or similar timestamp and may require re-verification. WorkSafeBC status can change after a check. A SOLVN badge does not establish that a Provider will remain active and in good standing throughout a Project. Customers should obtain current clearance directly from WorkSafeBC when it is relevant to the work, including before and after the work where appropriate.
Trust Scores, ratings, response times, sort order and similar indicators may use automated calculations and User Content. They may be incomplete, delayed or inaccurate. A Founding Provider designation records early participation only and does not increase ranking, search position or Trust Score.
Reviews must reflect genuine first-hand experience and must not be fabricated, purchased, incentivized or used to manipulate a competitor’s reputation. SOLVN may remove or restrict reviews that violate these Terms, law, privacy rights or platform-integrity rules, but will not remove a review merely because it is negative.
9. Payments for Home-Service Work
SOLVN currently does not collect, hold, escrow, process, disburse or guarantee payment for physical work under a Service Contract. Unless a separate payment product is expressly introduced with supplemental terms, payment is made directly between Customer and Provider.
The Customer and Provider are responsible for payment terms, deposits, refunds, taxes, chargebacks and payment disputes relating to their Service Contract. SOLVN is not a bank, escrow agent, trustee or money services business merely because Users met through the Services.
10. Estimates, Invoices, Expenses and Business Records
SOLVN may provide tools for estimates, invoices, expenses, receipt records, customer records and reports. These are productivity and recordkeeping tools. An estimate is not a warranty that work can be completed for that amount. An invoice is a payment request created by the Provider; it is not SOLVN’s confirmation that work was completed or accepted.
Labels such as “tax-ready” or tax summaries describe organizational functionality only. SOLVN does not provide accounting, bookkeeping, tax, legal, engineering, architectural, building-code or insurance advice. Users are responsible for verifying amounts, tax treatment, retention requirements and legal compliance.
11. AI-Assisted and Automated Features
The Services may use artificial intelligence or automated systems to generate draft project descriptions, estimates, cost ranges, receipt extractions, categorizations, summaries, analytics or other outputs. Such outputs may be inaccurate, incomplete or unsuitable for a particular situation.
AI output is an informational or drafting aid only. It is not a binding quotation, appraisal, valuation or professional opinion and is not legal, tax, financial, insurance, engineering, architectural or building-code advice. Users must review and independently verify material outputs before relying on or sending them.
The Privacy Policy explains material AI data-processing practices. Do not submit passwords, full payment-card details, government identification numbers or other highly sensitive information unless the interface expressly requires that information for a stated purpose.
12. User Content and Licence to SOLVN
You retain ownership of your User Content. You grant SOLVN a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, adapt, transmit, display and otherwise use User Content only as reasonably necessary to provide, secure, maintain, support and improve the Services, comply with law and exercise rights under these Terms.
AI training
SOLVN does not use the content of private Projects, messages, verification documents, invoices, receipts or other private business documents to train general-purpose artificial-intelligence models, and does not sell User Content. SOLVN may use AI-assisted tools to operate and improve the Services as described in the Privacy Policy, and where SOLVN wishes to use private content to train a model it will do so only with separate notice and an appropriate lawful basis or consent.
SOLVN will not use private Project photos, private messages, private documents or personal information in public advertising merely because of this licence. Public promotional use of identifiable private User Content requires an appropriate separate permission or another lawful basis described at the time of use.
You represent that you have the rights and permissions necessary to provide User Content and that it does not infringe another person’s intellectual property, privacy or other rights.
13. Copyright, Trademarks and Platform Property
The Services, software, databases, interfaces, designs, algorithms, documentation, text and other materials created by or for SOLVN, excluding User Content, are owned by SOLVN Platforms Inc. or its licensors. SOLVN, the SOLVN logo and related brand assets are trademarks or trade indicia of SOLVN Platforms Inc., whether registered or unregistered.
Subject to these Terms, SOLVN grants you a limited, revocable, non-exclusive, non-transferable licence to use the Services for their intended purpose. No source code, trademark or other intellectual-property right is transferred to you.
Copyright notices may be submitted to support@solvn.ca with sufficient information to identify the protected work and the allegedly infringing material. SOLVN may act in accordance with applicable Canadian copyright notice requirements.
14. Privacy, Cookies and Communications
SOLVN handles personal information in accordance with the SOLVN Privacy Policy and applicable privacy law, including British Columbia’s Personal Information Protection Act and, where applicable, Canada’s Personal Information Protection and Electronic Documents Act.
Service communications relating to security, Projects, Bids, billing, legal notices or Account operation are not marketing messages. Commercial electronic messages are sent only where SOLVN has consent or another lawful basis and are handled in accordance with Canada’s Anti-Spam Legislation (CASL). Marketing consent is separate from acceptance of these Terms.
Optional analytics technologies are used only as described in the Privacy Policy and applicable consent controls. You can adjust eligible cookie or analytics choices through available preference controls.
15. Acceptable Use
You must not, directly or indirectly:
- Use the Services for unlawful, fraudulent, deceptive, threatening, harassing, discriminatory or abusive conduct.
- Post fake Projects, Bids, credentials, reviews or other misleading information.
- Scrape, crawl, harvest, index or systematically extract non-public Service data, except for a general-purpose search engine complying with SOLVN’s robots.txt or an interface expressly authorized by SOLVN.
- Circumvent authentication, security, rate limits, access controls or technical restrictions; probe vulnerabilities without written authorization; or introduce malware or harmful code.
- Use contact information obtained through the Services for unrelated marketing, list building, resale or spam.
- Infringe intellectual-property, privacy, publicity or other rights, or upload another person’s sensitive personal information without authority.
- Misrepresent an affiliation, endorsement or certification by SOLVN.
16. Third-Party Services and Links
The Services may integrate with third-party hosting, authentication, analytics, AI, messaging, app-store or payment services and may link to third-party sites. Their services are subject to their own terms and privacy practices. SOLVN is not responsible for third-party content or acts, except to the extent liability cannot lawfully be excluded or the third party acts as SOLVN’s processor for which SOLVN remains legally accountable.
17. Suspension, Termination and Account Deletion
SOLVN may restrict, suspend or close an Account, remove content or withdraw a badge when SOLVN reasonably believes there has been a material breach, fraud, security risk, unlawful conduct, serious safety risk, false verification information, abuse of Users or the Services, or when required by law. Where appropriate and lawful, SOLVN will provide notice and a reasonable opportunity to respond.
You may request Account deletion through available in-app controls or the SOLVN account-deletion process. Deletion does not cancel or alter an existing Service Contract with another User. Personal information is retained or deleted in accordance with the Privacy Policy and applicable law.
18. Disclaimers
Subject to rights that cannot be excluded by law, the Services are provided on an “as is” and “as available” basis. SOLVN does not guarantee uninterrupted or error-free operation, a particular number of Bids or Projects, any amount of revenue, the accuracy of User Content, Trust Signals or AI output, or the performance of any Provider or Customer.
Nothing in these Terms excludes, restricts or modifies a statutory condition, warranty, right or remedy where doing so is prohibited by applicable law.
19. Limitation of Liability
To the maximum extent permitted by law, SOLVN Platforms Inc. and its directors, officers, employees, contractors and licensors are not liable for indirect, incidental, special, consequential, exemplary or punitive damages; loss of profits, revenue, opportunity, goodwill or data; or loss arising from the acts or omissions of another User or from a Service Contract between Users.
Subject to mandatory law, and only for claims to which a contractual cap may lawfully apply, SOLVN’s total aggregate liability arising from the Services or these Terms is limited to the greater of (a) the amount you paid directly to SOLVN in the 12 months before the event giving rise to the claim and (b) CAD $100.
Nothing in this section limits or excludes liability for fraud, fraudulent misrepresentation, wilful misconduct, liability for death or personal injury caused by SOLVN’s negligence where such liability cannot be limited, or any other liability that law does not permit SOLVN to exclude or limit. Nothing in this section waives a non-waivable Consumer right, benefit, protection or remedy under the Business Practices and Consumer Protection Act (British Columbia) or other applicable law. The cap will be read down or not applied to the extent a court or tribunal determines that applying it would be unlawful or unenforceable in the circumstances.
20. User Responsibility and Indemnity
To the extent permitted by law, a business User will indemnify SOLVN for third-party claims arising from that business User’s unlawful conduct, material breach of these Terms, infringement by its User Content or misuse of the Services. This provision does not require a Consumer to indemnify SOLVN to the extent such an obligation would be unlawful or unenforceable, and does not apply to loss caused by SOLVN’s own negligence or wilful misconduct.
21. Disputes and Governing Law
If you have a concern with SOLVN, contact support@solvn.ca. This is a request to allow informal resolution and is not a condition that prevents you from starting a proceeding.
These Terms do not require mandatory arbitration and do not waive a Consumer’s right to participate in a class proceeding where applicable law protects that right. The laws of British Columbia and the federal laws of Canada applicable in British Columbia govern these Terms, without regard to conflict-of-laws rules.
British Columbia law governs as the common framework for these Terms. If you reside in another Canadian province or territory, this choice of law does not remove the benefit of any mandatory consumer-protection or privacy right that the law of your own province or territory gives you and that cannot be waived by contract. Those mandatory rights continue to apply to you, and these Terms are read subject to them.
Subject to mandatory consumer rights, the courts of British Columbia have jurisdiction. Nothing prevents an eligible claim from being brought before the Civil Resolution Tribunal or Provincial Court where that forum has jurisdiction, or a Consumer from using another forum that applicable law makes available.
22. Changes to the Services and These Terms
SOLVN may change the Services and may amend these Terms. Changes that are administrative, clarifying, security-related or legally required may take effect on reasonable notice. A material amendment that increases a User’s obligations or materially reduces SOLVN’s obligations will be communicated in a clear manner and will require any additional notice or acceptance required by applicable law.
SOLVN will not apply a material adverse amendment retroactively to a Service Contract already formed between Users. Provider subscription changes are governed by the Contractor & Subscription Agreement.
23. General
These Terms, the Privacy Policy, the Contractor & Subscription Agreement where applicable, and any expressly incorporated supplemental terms form the agreement between you and SOLVN regarding the Services. If a provision is unenforceable, it will be read down or severed only to the minimum extent necessary. Failure to enforce a provision is not a waiver.
SOLVN may assign these Terms to an affiliate or successor in connection with a reorganization, financing, merger or sale of all or substantially all of the relevant business or assets, subject to applicable privacy and consumer law. You may not assign your Account or these Terms without SOLVN’s written consent.
