Contractor & Subscription Agreement

Version 1.0 · Effective August 22, 2026 · Canada (excluding Québec)

SOLVN is the brand and application name of SOLVN Platforms Inc., a British Columbia corporation. This Agreement governs Providers using SOLVN. It incorporates the SOLVN Terms of Use and should be read together with the SOLVN Privacy Policy. If there is a conflict on a Provider-specific matter, this Agreement controls.

1. Parties, Business Purpose and Incorporation of Terms

This Contractor & Subscription Agreement (the “Agreement”) is between SOLVN Platforms Inc. (“SOLVN”, “we”, “us” or “our”) and the individual or business that registers or uses a Provider Account (“Provider”, “you” or “your”). SOLVN is the brand and application name of SOLVN Platforms Inc. and is pronounced “SOL-ven”. The website is www.solvn.ca and the web application is app.solvn.ca.

A Provider Account is intended principally for business, commercial or professional use. If you act for a corporation, partnership or other entity, you represent that you have authority to bind it. The SOLVN Terms of Use are incorporated into this Agreement. If there is a conflict on a Provider-specific matter, this Agreement controls.

Nothing in this Agreement removes a non-waivable statutory right. If, despite the intended business use, a transaction between you and SOLVN is legally a consumer transaction, mandatory consumer protections apply to the extent required by law.

2. Definitions

Verified Plan SOLVN’s current free Provider plan described in Schedule 1. Pro The published paid Provider business-tools tier described in Schedule 1. Business Plan Any separately quoted team or enterprise-style Provider plan. Founding Provider A Provider accepted into the Founding Provider Program under section 15. Founding Period The 12 consecutive months of free Pro access beginning on the date SOLVN confirms Founding Provider verification and enrolment. Founding Price Lock The conditional right described in section 15 to keep the published founding Pro price of CAD $29.99 per month, before applicable tax, while eligibility continues. Lower Mainland Has the specific program definition in section 3 and does not depend on a different administrative definition used by another organization.

3. Lower Mainland Definition for the Founding Provider Program

For the Founding Provider Program only, “Lower Mainland” means the southwest mainland area of British Columbia commonly described as west of and including Hope and south of Whistler. To make eligibility administratively clear, SOLVN treats the following as within the program area:

Whistler, Pemberton, the Sunshine Coast, Vancouver Island and communities east of Hope are not included in the Founding Provider Program unless SOLVN expressly expands the program in writing before a Provider enrols. A Provider’s eligibility is determined by the business/service location information submitted to SOLVN and reasonably verified by SOLVN.

4. Provider Eligibility and Account Responsibility

You must be legally capable of operating the Provider Account, carry on business lawfully and provide accurate, current information. A Provider Account may represent a sole proprietor, corporation, partnership or other lawful business form.

You are responsible for Account security and for authorized team activity. Do not share owner-level credentials. Notify support@solvn.ca promptly of suspected unauthorized access. SOLVN may require multi-factor authentication, identity verification or other reasonable security controls.

5. Provider Legal, Licensing, Insurance and Safety Obligations

By maintaining a Provider Account and each time you submit a Bid, you represent and warrant that, for the services and locations involved, you will:

6. Verification and Provider Trust Signals

SOLVN may review business licences, insurance, WorkSafeBC/WCB information, trade licences, bonds, background checks, First Aid/CPR certificates, government-issued identification and other credentials. SOLVN may use documents, identifiers, issuer records or third-party verification services.

A Verification Badge is a point-in-time trust signal unless expressly stated otherwise. It is not SOLVN’s certification of competence, quality, honesty, solvency, safety or future insurance coverage. You must not market a SOLVN badge in a way that suggests SOLVN guarantees or endorses your work.

Where a badge relies on WorkSafeBC clearance or another credential whose status can change, SOLVN may display the verification date, status-through date or similar timestamp; may periodically re-check the issuing source; and may expire, suspend or remove the badge if current status cannot be confirmed. You must cooperate with reasonable re-verification requests and promptly update expired, suspended, cancelled or otherwise changed clearance information.

SOLVN may remove, suspend or change a badge if information expires, cannot be reverified, appears inaccurate, or the Account no longer satisfies program criteria.

7. Projects, Bids and Customer Selection

You decide whether to bid, what to charge, what scope and assumptions to include and whether a site visit is required. A Bid should clearly identify material exclusions and assumptions, including concealed conditions, permit requirements, disposal, access, taxes, material price changes or other variables when relevant.

Unless the interface expressly and prominently states otherwise, a Customer’s use of an “Accept”, “Award”, “Choose”, “Won” or similar control records the Customer’s selection or project status and may unlock contact details; it is not SOLVN’s creation or guarantee of a complete Service Contract.

You are responsible for confirming the Customer’s identity, authority to request work, job-site conditions and final scope before commencing work.

8. Your Service Contract with the Customer

Before work begins, you are responsible for entering a legally compliant Service Contract with the Customer where required or appropriate. Your contract should address scope, price, taxes, deposits, milestones, materials, schedule, site conditions, changes/extras, permits, inspections, warranty, cancellation and other legally required terms.

SOLVN is not a party to the Service Contract and has no duty to collect payment, enforce the contract, inspect the work, resolve deficiencies or guarantee either party’s performance.

9. Consumer, Direct-Sales and Home-Service Compliance

When your Customer is an individual obtaining services primarily for personal, family or household purposes, you are responsible for complying with applicable consumer-protection law, including the British Columbia Business Practices and Consumer Protection Act (“BPCPA”) where it applies.

If you enter a contract in person away from your permanent place of business, direct-sales rules may apply. Certain household goods and services are subject to statutory restrictions or prohibitions in British Columbia. You must determine whether mandatory contract content, delivery of a contract copy, cancellation rights, restrictions on credit or other rules apply.

A Project initiated by a Customer through SOLVN does not relieve you of your own legal duties. SOLVN does not provide legal advice regarding your Customer contract.

10. Teams, Employees and Subcontractors

If team features are available, you are responsible for authorizing users, assigning roles and limiting access. You are solely responsible for employment classification, wages, payroll, tax withholding, supervision, qualifications, workers’ compensation, insurance and compliance relating to your workers and subcontractors.

A SOLVN team feature does not make SOLVN an employer, payroll provider or supervisor. Work logs, timesheets and job assignments must be reviewed by you for accuracy before you rely on them.

11. Customer Information, Privacy and CASL

Customer contact information and personal information obtained through SOLVN may be used only for the relevant Project or Service Contract, lawful customer service and recordkeeping, or another purpose for which you independently have a lawful basis.

You must not sell, rent, scrape, harvest or disclose Customer information for unrelated purposes. You must not add a Customer to an unrelated marketing list or send a commercial electronic message unless CASL permits it, including any required consent, sender identification, contact information and a working unsubscribe mechanism.

You are independently responsible for privacy compliance for personal information you collect or control about Customers, employees, subcontractors and other individuals.

12. Current Plans and Pricing Principles

SOLVN’s public pricing model is designed so that marketplace trust identity remains available without a paid subscription. Current plan details are summarized in Schedule 1 and should match the pricing page at www.solvn.ca/pricing.

As of August 19, 2026, SOLVN states publicly that there is no live payment system and no Provider can purchase Pro yet. The published Pro price exists so Providers can plan around the future cost. No card is required merely to register or use the free Verified Plan.

13. Verified Plan — Free, Not a Trial

The Verified Plan is CAD $0 per month and has no stated expiry date. It is not a time-limited trial. Current monthly volume limits reset on the first day of each calendar month unless the Services clearly state another rule before use.

Reaching a limit does not cancel existing Bids. Existing Bids remain live and may still be selected, subject to Account standing and marketplace rules. The free plan’s Provider profile, eligible Verification Badges, Trust Score, response time, portfolio and reviews are not conditioned on purchasing Pro.

For clarity, the Verified Plan’s “2 won jobs/month” limit is a bidding-volume trigger, not a cancellation rule. When the Account records its second won Project in a calendar month, SOLVN may prevent the Provider from starting new Bids for the rest of that month. Bids submitted before the trigger remain live and may still be accepted, even if that results in more than two won Projects. Existing awards and Service Contracts are not cancelled, and the limit does not restrict work obtained outside SOLVN.

14. Pro and Business Plans

The published Pro price is CAD $29.99 per month, before applicable tax. Pro is not on sale as of August 19, 2026. When Pro becomes available, purchasing it will require an affirmative checkout action showing the price, taxes, billing frequency, renewal terms, cancellation method and included features before you are charged.

The Business Plan is described publicly as supporting team accounts with separate logins/roles and priority support. No standard price is currently published. Any Business Plan purchase requires a separate written quote, order form or supplemental agreement accepted before charges are incurred.

15. Founding Provider Program

Eligibility

The Founding Provider Program is available to the first 100 Providers that satisfy SOLVN’s verification requirements and the Lower Mainland geographic requirement in section 3 during the enrolment period designated by SOLVN. SOLVN may close enrolment when 100 eligible Providers have been accepted.

How the first 100 are determined

A Provider’s place in the first 100 is fixed by the date and time of SOLVN’s written confirmation that the Provider has completed verification and has been enrolled as a Founding Provider, and not by the date an application, sign-up or waitlist entry was submitted. This confirmation timestamp is the sole basis for ordering, and SOLVN’s records of it are determinative absent manifest error.

Twelve months of Pro

An accepted Founding Provider receives the full Pro tier at no charge for 12 consecutive months beginning on the date SOLVN confirms verification and Founding Provider enrolment. No payment method is required merely to receive the Founding Period.

After 12 months

If the Founding Provider does not affirmatively purchase or continue Pro when paid subscriptions are available, the Account returns to the free Verified Plan and its then-current limits. The Provider may continue to use the free marketplace subject to those limits.

Founding Price Lock

The founding Pro price is CAD $29.99 per month before applicable tax. An eligible Founding Provider who affirmatively continues on Pro after the Founding Period keeps that base subscription price while the Founding Price Lock remains in good standing, as defined below. A SOLVN-designated seasonal pause, if offered and used in accordance with its published rules, does not by itself terminate the price lock. The price lock does not guarantee a particular payment channel. App-marketplace service fees, commissions or billing fees deducted from amounts payable to SOLVN do not, by themselves, increase the Provider-facing locked base price. The price lock does not freeze taxes, separately purchased add-ons, third-party charges paid directly by the Provider, Business Plan pricing or materially different future products.

What keeps the price lock in good standing

The Founding Price Lock stays in good standing only while the Provider maintains a continuous, active, paid Pro subscription that began by affirmatively continuing on Pro at the end of the Founding Period. The following do not, by themselves, end the price lock:

When the price lock is permanently lost

The Founding Price Lock ends permanently and cannot be restored, and any later Pro subscription is charged at SOLVN’s then-current price, if at any time: the Provider does not affirmatively continue on paid Pro at the end of the Founding Period and instead moves to the free Verified tier; the Provider cancels the Pro subscription, or downgrades from Pro to the free Verified tier, at any time after the Founding Period; the Pro subscription lapses for non-payment and is not cured within the 10-day period described above; or the Account is closed, or is suspended or closed by SOLVN for a material breach, fraud or false verification information.

Re-subscribing later

A Provider who has permanently lost the price lock may take out a Pro subscription again at any time, but at SOLVN’s then-current price. The founding price of CAD $29.99 does not return.

Change of billing channel

Moving between billing channels by itself — for example from web billing to Google Play or Apple billing, or the reverse — does not end the price lock, provided the Pro subscription remains continuous and active. However, the price actually charged through an app marketplace is set by that marketplace, and SOLVN does not control it.

Permanent Founding Provider Mark

The Provider receives a permanent profile designation recording early participation. The mark does not increase ranking, search position or Trust Score; it is not a Verification Badge and does not represent quality, licensing, insurance or endorsement. If the Account is closed for fraud or a serious material breach, SOLVN may remove the mark.

Transfer

The Founding Provider benefit is tied to the enrolled business Account. Transfer in connection with a bona fide sale of the business requires SOLVN’s written consent and completion of identity and verification updates.

16. No Commission, No Lead Fee and No Share of Your Work

Under SOLVN’s standard marketplace model, you are not charged to view a Project, submit a Bid or win a Project. SOLVN does not take a commission, success fee, lead fee or percentage/share of the value of your Bid, Service Contract, invoice, deposit or payment for the work.

SOLVN will not convert the standard marketplace model governed by this Agreement into a commission, lead-fee or percentage-of-job model by unilateral amendment. If SOLVN ever offers a materially different commercial product involving such charges, it must be separately and affirmatively accepted before it applies to you.

This section does not prohibit the fixed Pro subscription, a separately negotiated Business Plan, taxes, or a separately accepted payment-processing or financial product that clearly discloses its own charges before use.

17. Subscription Billing, Renewal and Cancellation When Pro Launches

When Pro becomes available, the standard public Pro plan is intended to renew monthly until cancelled. You may cancel using the billing/subscription controls provided in the Services or through the app marketplace that processed the purchase. Cancellation prevents the next renewal charge and paid access ordinarily continues through the already-paid period unless a refund or earlier termination is required or agreed.

Because Provider subscriptions are intended for business use, monthly fees already charged are non-refundable except where SOLVN charged in error, expressly promised a refund, an app marketplace requires it or applicable law requires it. If a Provider transaction is legally a consumer subscription, mandatory BPCPA cancellation, renewal, notice and refund rules prevail.

If a payment fails after paid subscriptions launch, SOLVN may retry the payment, restrict paid features and revert the Account to the applicable free tier after reasonable notice. You remain responsible for undisputed amounts properly charged.

18. Price and Plan Changes

SOLVN may change the standard Pro price for future billing periods by giving at least 30 days’ advance notice. A new price applies no earlier than the first renewal after the notice period. You may cancel before it takes effect. A valid Founding Price Lock overrides a general Pro price increase for the eligible Provider.

SOLVN may make reasonable product, technical, usage-limit and security changes. It will not use a unilateral amendment to add a commission, lead fee or percentage-of-job charge to the standard marketplace model. Where mandatory law requires a specific notice window, proof of receipt, refund or cancellation right, that requirement controls.

19. App Marketplace and Payment Processor Terms

If a subscription is purchased through Google Play, the Apple App Store or another application marketplace, that marketplace may process the transaction and apply its own billing, renewal, cancellation and refund rules. You must use the marketplace cancellation method where required.

As of August 19, 2026, Google Play’s Payments policy generally requires Play-distributed apps to use Google Play Billing for in-app purchases of digital app functionality and subscriptions by Canadian users unless an applicable exception or approved program applies. SOLVN may therefore choose to sell Pro inside the Android app using Google Play Billing, or operate the Play-distributed app as consumption-only and sell Pro separately on the web without prohibited in-app steering. SOLVN will configure checkout to comply with the marketplace rules that apply at the time of purchase.

Service fees, commissions or billing fees deducted by Google Play, Apple or another marketplace from amounts paid to SOLVN are costs of that distribution or payment channel unless a separate Provider-facing charge is clearly disclosed before purchase and affirmatively accepted. Such marketplace deductions do not, by themselves, increase a valid Founding Price Lock. The Founding Price Lock does not guarantee a particular payment channel.

If SOLVN later uses a third-party payment processor for direct subscription billing, card details may be collected directly by that processor. SOLVN does not intend to store full payment-card numbers. The Privacy Policy will identify material processing practices before paid checkout launches.

20. Taxes

Published Pro pricing is in Canadian dollars and exclusive of applicable tax. Applicable GST and other taxes will be shown separately when checkout becomes available. You are responsible for taxes arising from your own business, Bids, Service Contracts, invoices and payments from Customers.

21. Business Tools, AI and Records

SOLVN may provide estimates, invoices, line items, receipt scanning, expense tracking, reports, customer records, bid analytics and AI-assisted tools. These tools are aids to your business; they do not replace your professional judgment or legal, accounting, tax or insurance advice.

SOLVN does not use the content of your private Projects, messages, verification documents, invoices, receipts or other private business documents to train general-purpose artificial-intelligence models, and does not sell your content. Where SOLVN wishes to use such private content to train a model, it will do so only with separate notice and an appropriate lawful basis or your consent.

Bid analytics may show how pricing compared on jobs you lost or other aggregated marketplace information. Analytics do not guarantee why a Customer made a decision and must not be used to collude, fix prices, discriminate or misuse confidential information.

You are responsible for reviewing AI-generated estimates, receipt extraction, tax breakdowns and other outputs before using them. Maintain independent copies of records that are important to your legal, tax or business obligations.

22. Provider Content and Business Documents

You retain ownership of business documents and User Content you upload. You grant SOLVN the limited licence described in the Terms of Use to process the content as necessary to provide, secure and support the Services. Private documents and private Customer information are not licensed for public advertising merely by being uploaded.

You must have authority to upload documents and personal information relating to employees, Customers or other persons. Do not upload data that is unnecessary for the feature being used.

23. Suspension, Termination and Effect on Paid Features

SOLVN may suspend or close a Provider Account for a material breach, fraudulent or false verification information, serious safety risk, unlawful activity, abuse, repeated review manipulation, security risk or other material conduct that threatens Users or the Services. Where reasonable and lawful, SOLVN will provide notice and an opportunity to respond.

If SOLVN permanently closes a paid Account for reasons not caused by your breach, fraud or unlawful conduct, SOLVN will provide a reasonable pro-rata credit or refund for the unused directly paid subscription period, unless the purchase was through an app marketplace whose rules require a different process.

24. Disclaimers and No Guaranteed Work

SOLVN does not guarantee any number of Projects, Bids, wins, Customer inquiries, revenue, profit or business outcome. Marketplace demand varies by location, trade, season and other factors. Verification, Trust Scores, ranking and analytics are not endorsements or guarantees.

Subject to rights that cannot be excluded, the Services are provided “as is” and “as available”. SOLVN does not guarantee uninterrupted operation or the accuracy of User Content or AI output.

25. Limitation of Liability

To the maximum extent permitted by law, SOLVN Platforms Inc. and its directors, officers, employees, contractors and licensors are not liable for indirect, incidental, special, consequential, exemplary or punitive damages; lost profits, revenue, opportunity, goodwill or data; or loss arising from a Customer, Service Contract, your work, non-payment, property damage or other acts or omissions of another User.

Subject to mandatory law, and only for claims to which a contractual cap may lawfully apply, SOLVN’s aggregate liability to you arising from the Services or this Agreement is limited to the greater of (a) fees you paid directly to SOLVN in the 12 months before the event giving rise to the claim and (b) CAD $100.

Nothing in this section limits or excludes liability for fraud, fraudulent misrepresentation, wilful misconduct, or any liability that law does not permit SOLVN to exclude or limit. The cap will be read down or not applied to the extent a court or tribunal determines that applying it would be unlawful or unenforceable in the circumstances, including to the extent loss was caused by SOLVN’s own negligence where exclusion or limitation is unlawful.

26. Provider Indemnity

To the extent permitted by law, you will indemnify and defend SOLVN and its directors, officers and employees against third-party claims and regulatory proceedings, and resulting judgments, fines, penalties, losses and reasonable legal costs, arising from: your work or failure to perform work; your breach of this Agreement or law; false or misleading credentials; your workers or subcontractors; your Service Contract; your User Content; infringement of third-party rights; or personal injury, death or property damage caused by your work.

The indemnity does not apply to the extent a claim is caused by SOLVN’s negligence, wilful misconduct or fraud. SOLVN will provide reasonable notice of a claim and reasonable cooperation. SOLVN may control the defence where reasonably necessary to protect its interests, but will not settle a claim in a manner that requires you to admit wrongdoing or accept non-monetary obligations without your consent, not to be unreasonably withheld.

27. Disputes and Governing Law

Contact support@solvn.ca first if you have a dispute with SOLVN. This is not a mandatory precondition to a legal proceeding. Disputes between you and a Customer are primarily matters between the parties to the Service Contract; SOLVN may facilitate communication without becoming an adjudicator or party.

This Agreement is governed by British Columbia law and applicable federal Canadian law. You and SOLVN submit to the jurisdiction of British Columbia courts, subject to any mandatory forum rights. No mandatory arbitration is imposed by this Agreement.

SOLVN is offered for use in Canada, except that it is not currently offered in the Province of Québec, and is not directed to users outside Canada. SOLVN’s current service area for matching Customers and Providers is British Columbia, and SOLVN may expand it over time.

British Columbia law governs as the common framework for this Agreement. If you operate in another Canadian province or territory, this choice of law does not remove the benefit of any mandatory right that the law of your own province or territory gives you and that cannot be waived by contract, including any mandatory consumer-protection right that applies if your purchase is treated as a consumer transaction. Those mandatory rights continue to apply, and this Agreement is read subject to them.

28. General and Notices

This Agreement, the Terms of Use, Privacy Policy, Schedule 1 and any accepted supplemental terms constitute the agreement concerning your Provider use of SOLVN. If a provision is unenforceable it will be read down or severed only to the minimum extent required.

SOLVN may assign this Agreement to an affiliate or successor in connection with a merger, financing, reorganization or sale of all or substantially all of the relevant business or assets. You may not transfer your Provider Account without SOLVN’s written consent.

Legal and account notices may be sent electronically to the email associated with your Account or delivered in the Services. Notices to SOLVN may be sent to support@solvn.ca. Privacy matters should be sent to privacy@solvn.ca.

Schedule 1 — Current Provider Plans

This Schedule reflects the public pricing page reviewed August 19, 2026. The live pricing page and checkout, when launched, must be kept consistent with this Agreement.

Verified — $0 / month 15 bids/month; 2 won jobs/month; up to 3 SOLVN-generated invoices or estimates/month; 10 saved customers; public profile, eligible verification badges, Trust Score, response time, portfolio and reviews. Limits reset monthly. After the second won job in a calendar month, new Bids may be blocked until reset; Bids already submitted remain live and may still be accepted. Custom Provider logo/brand colour on documents is a Pro feature. Pro — $29.99 / month + tax Not on sale as of Aug. 19, 2026. Unlimited bids and won jobs; unlimited invoices and estimates; Provider logo and brand colour on documents; saved line items; expense tracking with receipt scanning; bid analytics; higher AI allowance. Business — Custom / not yet published Team accounts with separate logins and roles and priority support. Pricing requires a separate quote or agreement.

Founding Provider Summary

Eligibility First 100 verified Providers in the Lower Mainland program area. Free Pro Full Pro tier free for 12 consecutive months from verification/enrolment. Price lock CAD $29.99/month before tax if the eligible Founding Provider continues on Pro, subject to section 15; a qualifying SOLVN seasonal pause does not by itself end the lock.
